END USER LICENSE AGREEMENT

Titan Protocol — Genesis Key Software License

1. Grant of License

Subject to the terms and conditions of this End User License Agreement ("EULA"), Titan Protocol grants to each Genesis Key Holder ("Licensee") a non-exclusive, perpetual, transferable (subject to the Terms of Concession) license to:

  1. Interact with the Titan Protocol distributed trading infrastructure through the Licensee's designated node;
  2. Access system dashboards, analytics, and performance data related to the Licensee's node;
  3. Receive and process trading signals, execution reports, and system notifications;
  4. Utilize all current and future features, upgrades, and enhancements made available to Genesis Key holders.

This license is contingent upon possession of a valid Genesis Key cNFT in a Solana wallet controlled by the Licensee.

2. License Scope

The license granted hereunder permits the Licensee to:

  1. Hold and maintain their Genesis Key cNFT;
  2. Operate their designated node within the Titan Protocol network;
  3. Access performance metrics, trading history, and analytical tools provided by the Protocol;
  4. Transfer the Genesis Key (and with it, this license) to another party in accordance with the Terms of Concession;
  5. Communicate with Protocol representatives through designated channels.

3. Prohibited Use

The Licensee shall not, directly or indirectly:

  1. Reverse engineer, decompile, or disassemble any component of the Titan Protocol software, algorithms, machine learning models, or infrastructure;
  2. Attempt to gain unauthorized access to any Protocol systems, services, databases, or infrastructure beyond what is provided through the licensed node interface;
  3. Copy, reproduce, or distribute any Protocol software, documentation, or proprietary information;
  4. Misrepresent affiliation with Titan Protocol, including but not limited to claiming to be a Protocol operator, developer, or representative;
  5. Use the licensed node for any purpose that violates applicable law, including but not limited to money laundering, sanctions evasion, market manipulation, or fraud;
  6. Interfere with the operation, security, or performance of the Protocol network or other nodes;
  7. Sublicense, lease, or rent the Genesis Key license or node access to third parties;
  8. Circumvent any security measures, access controls, transfer restrictions, or compliance mechanisms implemented by the Protocol;
  9. Scrape, harvest, or extract data from Protocol systems beyond what is provided through the licensed interface;
  10. Deploy competing systems that replicate Protocol functionality using knowledge gained through the license.

4. Intellectual Property

4.1 Protocol IP

All intellectual property rights in the Titan Protocol, including but not limited to software code, algorithms, machine learning models, trading strategies, detection systems, infrastructure architecture, and documentation, remain the exclusive property of Titan Protocol. Nothing in this EULA transfers any intellectual property rights to the Licensee.

4.2 Genesis Key cNFT

The Licensee owns the Genesis Key cNFT as a digital asset on the Solana blockchain. Ownership of the cNFT confers the license rights described herein but does not confer any rights to the underlying Protocol intellectual property.

4.3 Trademarks

The names "Titan Protocol," "Genesis Key," and associated logos and branding are proprietary marks. The Licensee may not use these marks without prior written authorization, except to accurately describe their status as a Genesis Key holder.

5. Data and Analytics

The Protocol provides Licensees with access to certain performance data, analytics, and system metrics. This data is provided for informational purposes only and:

  1. Shall not be redistributed, published, or shared with third parties without authorization;
  2. May be delayed, estimated, or subject to revision;
  3. Does not constitute financial advice, trading recommendations, or performance guarantees;
  4. Remains the property of Titan Protocol.

6. System Access and Availability

Titan Protocol will make commercially reasonable efforts to maintain system availability. However, the Protocol:

  1. Does not guarantee uninterrupted or error-free operation;
  2. May perform scheduled and unscheduled maintenance;
  3. May modify, upgrade, or restructure system components;
  4. May temporarily suspend access for security, regulatory, or operational reasons.

7. No Warranty

The Protocol and all associated services, data, and infrastructure are provided "AS IS" without warranty of any kind. Titan Protocol expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to:

  1. Warranties of merchantability or fitness for a particular purpose;
  2. Warranties of accuracy, completeness, or reliability of data or analytics;
  3. Warranties of uninterrupted or error-free operation;
  4. Warranties that the Protocol will achieve any particular trading outcome.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  1. Titan Protocol shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
  2. Titan Protocol shall not be liable for any loss of profits, revenue, trading capital, data, or opportunity;
  3. Total aggregate liability shall not exceed the amount of the Concession payment ($99,000 USD);
  4. These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise).

9. Indemnification

The Licensee agrees to indemnify, defend, and hold harmless Titan Protocol from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  1. The Licensee's violation of this EULA;
  2. The Licensee's misuse of the Protocol or node access;
  3. Any third-party claim related to the Licensee's activities conducted through the licensed node;
  4. The Licensee's failure to comply with applicable law.

10. Term and Survival

This EULA remains in effect for as long as the Licensee holds a valid Genesis Key cNFT. Upon transfer of the Genesis Key, this EULA terminates for the transferor and binds the transferee.

The following provisions survive termination or transfer: Sections 3 (Prohibited Use), 4 (Intellectual Property), 7 (No Warranty), 8 (Limitation of Liability), 9 (Indemnification), and 11 (Dispute Resolution).

11. Dispute Resolution

Any dispute arising out of or relating to this EULA shall be resolved through binding arbitration in accordance with internationally recognized arbitration rules, as specified in the Terms of Concession. The arbitration shall be conducted in English.

12. Amendments

Titan Protocol may update this EULA to reflect changes in Protocol features, regulatory requirements, or security practices. Material changes will be communicated with thirty (30) days advance notice. Continued use of the Protocol after such notice constitutes acceptance.

13. Severability

If any provision of this EULA is held to be unenforceable, the remaining provisions continue in full force and effect.

14. Entire Agreement

This EULA, together with the Terms of Concession, Risk Disclosure Statement, Privacy Policy, and Refund Policy, constitutes the complete agreement between the Licensee and Titan Protocol regarding the use of the Genesis Key software license.
